By-Laws
PREFACE – Excerpts From the Society’s Constitution
Each Section shall adopt its own
By-Laws, for the conduct of its own affairs, provided such are in harmony with
the constitution and By-Laws of the Society.
The provisions of the Constitution and By-Laws, and procedures established by
the Board of Governors of the Society, shall govern the procedure of all units
of the Society, but no action or obligation of such units shall be considered an
action or obligation of the Society as a whole.
CENTRAL INDIANA
SECTION BY-LAWS
Article 1 NAME:
1.1 The name of this organization shall be the Central Indiana Section of the
American Society of Mechanical Engineers.
Article 2 MEMBERSHIP:
2.1 All members of The American Society of Mechanical Engineers who have
indicated a "for mail" address within the Section’s geographical boundaries as
established by the Society, shall be considered members of the Central Indiana
Section.
2.2 Student members residing in this area shall be members of the Section
without vote.
2.3 The qualifications of voters at elections shall be the same as are
prescribed by the Constitution of the Society.
Article 3 MANAGEMENT:
3.1 Only members of the Central Indiana Section are eligible to chair committees
or hold office in the Section.
3.2 The management of the Section shall be vested in an Executive Committee. The
Executive Committee shall consist of the Officers plus the two most recent past
Chairs, plus Directors (the Chairs of any standing committees). The Executive
Committee may act for the Section as appropriate.
3.3 The Officers of the Section shall be a Chair, a Vice-chair, a Secretary and
a Treasurer.
3.4 Officers and Directors shall be elected by electronic or letter ballot each
year, in accordance with the By-Laws, and shall assume office for one year
beginning the first day of July following election.
3.5 The Executive Committee is empowered to appoint, for special purposes,
temporary subcommittees, upon which non-members of the Society may serve.
3.6 A member of any committee, who fails to discharge their obligation to the
Section, may be removed from the committee by the Chair of the Section with the
approval of the Executive Committee. The Executive Committee shall have the
power to fill vacancies in its own membership; such appointees will hold office
until the next regular election.
Article 4 OFFICERS:
4.1 Chair - The Chair shall preside at all meetings of the Section and of the
Executive Committee. The Chair shall appoint all committees, with the exception
of the Nominating committee, with the approval of the Executive Committee.
4.2 Vice-Chair - In the absence of the Chair, the duties of the Chair will be
performed by the Vice-Chair. Members of the Section may, in the absence of the
Chair and Vice-Chair, select a Chair to preside at that meeting.
4.3 Secretary - The Secretary will have general charge of the correspondence of
the Section and shall keep records of the meetings of the Section and the
Executive Committee.
4.4 Treasurer - The Treasurer shall have charge of the books of the Section,
collect all funds and make disbursements upon the direction and approval of the
Executive committee. The books and funds will be audited annually, in accordance
with Society requirements.
Article 5 SUBSECTIONS:
5.1 A group of 50 or more members within a defined territory, organized to
execute the objectives of the Society.
5.2 A Subsection may be formed upon the recommendation of the Regional
Vice-President and with the approval of the Council on Member Affairs.
5.3 The Subsection shall operate in a manner consistent with the rules and
regulations of the Section and the Society.
5.4 The Subsection may form its own governing body with the Chair serving as a
member of the Section Executive Committee.
Article 6 GROUPS:
6.1 A group of 25 or more members within a defined territory, organized to
execute the objectives of the Society.
6.2 A Group may be formed upon the recommendation of the Regional Vice-President
and with the approval of the Council on Member Affairs.
6.3 The Group shall operate in a manner consistent with the rules and
regulations of the Section and the National Society.
6.4 The Group may form its own governing body with the Chair serving as a member
of the Section Executive committee.
Article 7 ELECTIONS:
7.1 The Executive Committee shall appoint a nominating committee to select
candidates for the elective offices to be filled at each election, as provided
by the By-Laws.
7.2 The nominating committee shall prepare the ballot for the election of
Officers and Directors. It shall announce its selections to the Section within a
reasonable time prior to the date of sending out the ballot. At that time,
volunteers for Section functions will be invited.
7.3 Additional nominations may be made by petition, signed by not less than five
voting members of the section. The names of such nominees shall be added to the
ballot as a special list.
7.4 The ballot thus prepared shall be submitted to the membership of the
Section, to be canvassed within a reasonable time after the date of mailing.
Article 8 AMENDMENTS:
8.1 Amendments to these By-Laws may be submitted to the Executive Committee, in
writing, by any voting member at any meeting of the Section. If approved by a
majority of the voting members present at such meeting, the amendments shall be
submitted to the membership of the Section for vote by electronic or letter
ballot. If approved by two-thirds of the votes cast by the members of the
Central Indiana Section, the amendments shall become a part of the By-Laws, and
the revised By-Laws shall go into effect.
