SUBSECTION
BY-LAWS
THE
INTERNATIONAL AMERICAN SOCIETY OF MECHANICAL ENGINEERS, EAST TEXAS SUBSECTION
PREFACE
(The
following is excerpted from Society Policy P-5.3):
“Each
Section shall adopt its own By-Laws, for the conduct of its own affairs,
provided such are in harmony with the constitution and By-Laws shall be prefaced
by the previous sentence and with a copy of Article C5.1.2 of the Society's
Constitution. A copy of these By-Laws shall be filed with the Managing Director
for Member Affairs.”
C5.1.2
The provisions of the Constitution and By-Laws and Policies and
procedures established by the Board of Governors of the Society shall govern the
procedure of all components, shall be considered obligation of such components,
shall be considered an action or obligation of the Society as a whole".
ARTICLE
I
Name
Section
1.
The name of this organization shall be the East Texas Subsection of The American
Society of Mechanical Engineers.
ARTICLE
II
Membership
Section
1. All
members of The American Society of Mechanical Engineers who have indicated a
"for mail" address in the following counties, within the boundaries
established by the Society, shall be considered members of the East Texas
Subsection.
Section
2.
Student members residing in this area shall be members of the Subsection without
vote.
Section
3. The
qualifications of voters at elections shall be the same as are prescribed by the
Constitution of the Society.
ARTICLE
III
Management
Section
1. A
member to be eligible to work on committees or hold office in the East Texas
Subsection must be a member of the East Texas Subsection.
Section
2. The
Management of the Section shall be vested in a local Executive Committee of
eight members, two of whom shall be elected annually, to serve for four years.
Section
3. The
Committee shall elect a chair, vice chair, secretary and treasurer on an annual
basis. The remaining Executive
Committee members will serve as subcommittee chairs.
Section
4.
A Board of 4 directors shall be elected annually by the Executive
Committee to serve in an advisory capacity as ex-officio members of the
Committee.
Section
5. The
local Executive Committee is empowered to appoint for special purposes temporary
subcommittees, upon which non-members of the Society may serve.
Section
6. Any
member of any committee who for a period of three months (consecutively) does
not take part in the management of the affairs of the Subsection, shall
automatically cease to be a member of the committee. The Executive Committee
shall have power to fill vacancies in its own membership, such appointees to
hold office until the next regular election.
ARTICLE
IV
Nominations
Section
1. The
nominating committee of the Subsection shall be made up of two members selected
by the Executive Committee and the retiring chair of the Section. The retiring
chair of the Subsection shall act as chair of the nominating committee.
Section
2. In the
month of February each year the nominating committee shall prepare a letter
ballot for the election of officers and/or executive committee members. It shall
announce its selections to the Subsection approximately, and at least, one month
prior to the date of sending out the letter ballot.
Section
3.
Additional nominations may be made by petition, signed by not less than two
qualified members of the Subsection. The names of such nominees shall be added
to the letter ballot as a special list.
Section
4. The
letter ballot thus prepared shall be submitted to the membership of the
Subsection, to be canvassed not less than ten days after the date of mailing.
Section
5.
Those candidates receiving the two greatest numbers of votes, based on
ballots returned at the time of canvassing, shall be elected to the Executive
Committee.
ARTICLE
V:
Miscellaneous
Section
1.
Propositions for amendments to these By-Laws shall be submitted to the
Executive Committee, to be presented to the Subsection at a subsequent regular
meeting. Notice of such action shall be supplied to the members, along with the
meeting notice. Vote shall be by secret ballot of those present at the meeting.
If approved by 2/3 of the votes cast, the amendments shall become part of these
By-Laws.
Section
2.
These By-Laws shall go into effect on July 1, 2001.
ADDENDUM
Section
1.
The Executive Committee will be comprised of six members during the first
year of operation.
Section
2.
The Executive Committee will be comprised of seven members during second
year of operation, subject to the schedule of vacating positions listed in
Section 3.
Section
3.
Positions on the founding Executive Committee shall become vacant as
follows:
First
year:
Position held by the retiring chair.
Second
year:
Position held by the founding vice chair
Third
year:
Positions held by the founding secretary and membership chair
Fourth
year:
Positions held by the founding treasurer and program chair
