BY-LAWS

Revision 1, August 8, 1997

PREFACE

Each Section shall adopt its own By-Laws for the conduct of its affairs
provided such are in harmony with the Constitution, By-Laws, and Rules of
the American Society of Mechanical Engineers and provided also every
publication of such by-laws be prefaced with a copy of this Rule and with a
copy of Article C, Section 2 of the Society's Constitution. A copy of
these By-Laws shall be filed with the Executive Director and Secretary.

Article C, Section 2: The precision of the Constitution, By-Laws and Rules
of the Society shall govern the procedure of all components of the Society,
but no action or obligation of such components shall be considered an
action or obligation of the Society as a whole. This provision shall be
imprinted on any publication issued by such components.

ARTICLE I - NAME

Section 1. The name of this association shall be the Oak Ridge Section of
the American Society of Mechanical Engineers.

ARTICLE II - MEMBERSHIP

Section 1. The membership of the Oak Ridge Section with headquarters at Oak
Ridge, Tennessee shall include all ASME members who indicated to ASME
headquarters or to an Oak Ridge Section Officer their desire to be
affiliated with the Oak Ridge Section.

Section 2. Student members residing in this area shall be members of the
Section without vote.

Section 3. The qualifications of voters at elections shall be the same as
are prescribed by the Constitution of the Society.


ARTICLE III - MANAGEMENT

Section 1. Only Oak Ridge Section members are eligible to be Oak Ridge
Section officers or to work on Oak Ridge committees.

Section 2. The management of the Section shall be vested in a Section
Executive Committee made up of the current officers of the Section plus
three Directors.

Section 3. The Officers of the Section shall be a Section Chair,
Vice-Chair, Treasurer, and Secretary. The Section Directors shall consist
of the three most recent Chair of the Section. The presence of fifty
percent of the Executive Committee shall constitute a quorum for conducting
business.

Section 4. New officers shall be elected by ballot in the month of March
each year, and shall assume office on the first day of July following, in
accordance with uniform practice of all the sections.

Section 5. For special purposes the Section Chair is empowered to appoint
temporary sub-committees.

Section 6. The Executive Committee shall have power to fill vacancies in
its own membership, such appointees to hold office until relieved by a duly
elected officer.


ARTICLE IV - NOMINATIONS

Section 1. The Nominating committee of the Section shall be made up of the
two most recent past Section Chair and the current Chair of the Section.
The Chair of the Section shall act as chair of the Nominating Committee. If
these cannot serve, the Executive Committee shall appoint the necessary
substitutes.

Section 2. In the month of January each year, the Nominating Committee
shall prepare a ballot for the election of officers. It shall announce its
selections to the Section approximately and at least one month prior to the
date of distributing the ballot.

Section 3. Additional nominations may be made by petition, signed by not
less than five qualified members of the Section. The names of such nominees
shall be added to the ballot as a special list.

Section 4. The ballot thus prepared shall be electronically distributed,
via e-mail, to the membership of the Section. The membership will be given
at least 30 days to respond to the ballot. The membership shall be
canvassed in March.

Section 5. The Section Secretary will tally the votes and report the
results of the election to the membership.


ARTICLE V - MISCELLANEOUS

Section 1. Propositions for amendments to these By-Laws may be submitted to
the Executive Committee by a qualified member of the Section. If approved
by the Executive Committee, they shall be submitted to the membership of
the Section for consideration. Vote shall be by electronic ballot, to close
thirty days from the date of distribution. If approved by two-thirds of the
votes cast, the amendment, or amendments shall become part of these
By-Laws.

Section 2. These By-Laws shall be effective [20 Aug 1998].
